1. Agreement to Terms

By accessing or using TenderIQ ("Service," "Platform," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part, you may not access the Service.

These Terms apply to all users, including free trial users, paid subscribers, and affiliate partners.

2. Service Description

TenderIQ provides:

• Tender aggregation: We collect public sector tenders from 12 verified UK sources
• AI matching: Our algorithm scores and prioritizes tenders against your profile preferences
• Templates: Pre-built documents to accelerate bid writing
• Notifications: Email alerts for new matching opportunities
• Search & filters: Tools to discover relevant contracts across 27 industries

We do not guarantee: Contract wins, tender accuracy, or data completeness. We aggregate publicly available information—errors may occur.

3. Account Registration

To use TenderIQ, you must:

• Be 18+ years old
• Represent a legitimate UK business or be employed by one
• Provide accurate, complete registration information
• Maintain the security of your password
• Notify us immediately of unauthorized access

You are responsible for all activity under your account. Sharing login credentials is prohibited.

4. Subscriptions & Billing

4.1 Plans & Pricing

• Starter: £129/month (100 searches/day, 5 templates/month)
• Professional: £249/month (unlimited searches, 25 templates, AI matching)
• Business: £499/month (10 users, 50 templates, API access)
• Enterprise: £1,249/month (custom limits, white-label, dedicated support)

4.2 Payment Terms

• Subscriptions renew automatically each month
• Payment is processed via Stripe on your renewal date
• Failed payments result in immediate service suspension
• Annual plans receive 15% discount (non-refundable)
• Prices may change with 30 days' notice

4.3 Free Trials

Professional, Business, and Enterprise plans include 14-day free trials. No credit card required. At trial end, you'll be prompted to subscribe or downgrade to free tier.

4.4 Refunds & Cancellations

• Cancel anytime from account settings
• Monthly subscriptions: Pro-rated refund for unused days
• Annual subscriptions: No refunds after 30 days
• Refunds processed within 10 business days

5. Acceptable Use Policy

You may NOT:

• Scrape data: Use bots, scrapers, or automated tools to extract tender data
• Share accounts: Allow others to use your login credentials
• Resell data: Redistribute or sell tender information to third parties
• Abuse limits: Circumvent search limits or template download caps
• Reverse engineer: Decompile or attempt to discover our algorithms
• Spam: Send unsolicited emails via our platform
• Illegal activity: Use TenderIQ for fraud, bribery, or corruption

Violation results in immediate account suspension or termination without refund.

6. Intellectual Property

6.1 Our IP

TenderIQ owns all rights to our platform, algorithms, templates, branding, and content. You receive a limited, non-exclusive, non-transferable license to use our Service for your business only.

6.2 Your Content

You retain ownership of any data you upload (saved searches, profiles, notes). By using TenderIQ, you grant us a license to:

• Store and process your data to provide the Service
• Use anonymized, aggregated data for analytics and improvement
• Display your company logo on our website (if you consent)

6.3 Templates

Downloaded templates are for your business use only. You may not resell, redistribute, or claim authorship of our templates.

7. Disclaimers & Limitation of Liability

7.1 No Guarantees

TenderIQ is provided "AS IS" without warranties of any kind. We do not guarantee:

• Contract wins or bid success rates
• 100% accuracy of tender data (errors may occur)
• Uninterrupted service (maintenance may be required)
• Completeness of all UK tenders (we cover 14 sources, not all exist)

7.2 Liability Cap

Our total liability to you for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months before the claim. We are not liable for indirect, consequential, or punitive damages (e.g., lost profits, lost contracts).

7.3 Third-Party Content

Tender data comes from government portals and public sources. We are not responsible for inaccuracies, cancellations, or changes made by contracting authorities.

8. Indemnification

You agree to indemnify and hold TenderIQ harmless from any claims, damages, or expenses (including legal fees) arising from: (a) your breach of these Terms, (b) your violation of any law, or (c) your use of our Service.

9. Termination

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Abuse our platform or staff

Upon termination, you lose access immediately. Data is retained for 90 days, then permanently deleted (unless required by law).

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.

10.2 Informal Resolution

Before filing a claim, contact us at contact@tenderiq.io. We'll attempt to resolve disputes informally within 30 days.

11. Changes to Terms

We may update these Terms to reflect legal, operational, or service changes. Material changes will be notified via email 30 days in advance. Continued use after changes constitutes acceptance.

12. Miscellaneous

• Entire Agreement: These Terms constitute the complete agreement between you and TenderIQ
• Severability: If any provision is invalid, the rest remains in effect
• Waiver: Our failure to enforce a right does not waive that right
• Assignment: You may not transfer your account without our consent
• Force Majeure: We're not liable for delays due to events beyond our control
